1. Introduction

Welcome to OkeyAI ("the Service"), an agentic artificial intelligence platform developed and operated by OkeyMeta ("we", "us", "our", or "the Company"). OkeyAI is powered by the SSAILM 5 Ultimate model, provided through the OkeyMeta API platform. By accessing or using OkeyAI, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you ("user", "you", or "your") and OkeyMeta regarding your use of the OkeyAI platform, including all features, tools, and services accessible through the OkeyAI web application.

2. Definitions

• "Service" refers to the OkeyAI agentic AI platform, accessible via the web application, including all tools, features, integrations, and APIs.
• "OkeyMeta" refers to the company that develops and operates OkeyAI, the SSAILM series of models, and related products and services.
• "SSAILM 5 Ultimate" refers to the underlying artificial intelligence model that powers the OkeyAI platform. The model identifier is ssailm-5-ultimate.
• "Agent Mode" refers to OkeyAI's ability to autonomously perform tasks on your behalf, including but not limited to web browsing, code execution, file operations, and third-party service integrations.
• "Canvas Mode" refers to the interactive code and document editing environment within OkeyAI.
• "Content" refers to all text, images, code, files, data, and other materials submitted to, generated by, or transmitted through the Service.
• "User Data" refers to any data you provide to or through the Service, including messages, uploaded files, images, and personal information.

3. Eligibility and Account Registration

3.1. You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Service. If you are under 18, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

3.2. To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3. You agree to immediately notify OkeyMeta of any unauthorized use of your account or any other breach of security. OkeyMeta will not be liable for any loss or damage arising from your failure to protect your account credentials.

3.4. OkeyMeta reserves the right to suspend or terminate any account that violates these Terms, provides false information, or engages in fraudulent or harmful activity.

4. Use of the Service

4.1. Permitted Use. OkeyAI is provided for lawful personal and commercial use. You may use the Service to interact with the AI, generate content, browse the web, execute code, manage integrations, upload images for analysis, and perform other tasks supported by the platform.

4.2. Prohibited Use. You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation;
• Generate, distribute, or promote content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
• Attempt to gain unauthorized access to the Service, other users' accounts, or any related systems or networks;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service or the SSAILM 5 Ultimate model;
• Use the Service to develop competing AI models, products, or services by systematically extracting model outputs;
• Upload malicious code, viruses, or any other harmful content;
• Interfere with or disrupt the integrity or performance of the Service;
• Use automated means (bots, scrapers, etc.) to access the Service beyond what the Service itself provides;
• Misrepresent AI-generated content as human-created content in contexts where such disclosure is legally required;
• Use the Service to generate spam, phishing content, or misleading information;
• Engage in any activity that could harm minors.

4.3. Agent Actions. When using Agent Mode, OkeyAI may perform actions on your behalf, including browsing websites, executing code, and interacting with third-party services. You acknowledge that you are responsible for reviewing and authorizing any actions the agent performs, and that OkeyMeta is not liable for unintended consequences of agent-initiated actions.

5. OpenAI SDK Compliance and API Usage

5.1. OkeyAI utilizes the OpenAI SDK for communication with the SSAILM 5 Ultimate model hosted on OkeyMeta's infrastructure. The use of this SDK is subject to OpenAI's usage policies, and by extension, your use of OkeyAI must comply with all applicable OpenAI usage policies including but not limited to:

• You shall not use the Service to generate content that violates OpenAI's content policies;
• You shall not attempt to extract, replicate, or distill the model weights or training data;
• You shall not use the outputs to train or improve competing models without explicit permission;
• You shall comply with all rate limits, usage quotas, and fair use policies;
• You acknowledge that the AI model may occasionally produce incorrect, biased, or incomplete information, and you are responsible for verifying critical outputs.

5.2. OkeyMeta provides the SSAILM 5 Ultimate model via the OkeyMeta API endpoint. All API communications are encrypted in transit. The model identifier ssailm-5-ultimate is the designated model for the OkeyAI platform.

5.3. OkeyMeta reserves the right to modify, update, or replace the underlying model at any time to improve service quality, security, or compliance, without prior notice to users.

6. Intellectual Property

6.1. OkeyMeta's IP. The Service, including its design, code, features, SSAILM models, trademarks, logos, and all related intellectual property, is and remains the exclusive property of OkeyMeta. Nothing in these Terms grants you any right, title, or interest in OkeyMeta's intellectual property.

6.2. Your Content. You retain ownership of any original content you submit to the Service. By submitting content, you grant OkeyMeta a non-exclusive, worldwide, royalty-free license to use, process, and store such content solely for the purpose of providing and improving the Service.

6.3. AI-Generated Content. Content generated by OkeyAI in response to your prompts is provided to you for your use. However, you acknowledge that similar content may be generated for other users, and OkeyMeta does not guarantee exclusivity of AI-generated outputs. You are responsible for ensuring that your use of AI-generated content complies with applicable laws, including intellectual property laws.

7. Privacy and Data Protection

7.1. OkeyMeta collects, stores, and processes personal data in accordance with our Privacy Policy. By using the Service, you consent to such collection, storage, and processing.

7.2. Data We Collect: Account information (name, email), chat messages and conversation history, uploaded images and files, usage analytics, device and browser information, and IP addresses.

7.3. Data Retention: Chat conversations and messages are stored to provide you with conversation history and to improve the Service. You may delete your conversations at any time through the Service interface.

7.4. Image Uploads: Images uploaded to the Service for analysis are stored securely and are accessible only to you and the AI processing pipeline. Images are not used for training purposes without your explicit consent.

7.5. Third-Party Services: When you use agentic features that interact with third-party services (e.g., web browsing, Shopify integration), data may be transmitted to those third parties. OkeyMeta is not responsible for the privacy practices of third-party services.

8. Service Features and Capabilities

8.1. Chat Interface. The primary interface for interacting with OkeyAI. Conversations are stored with unique identifiers and can be accessed from your conversation history at any time.

8.2. Canvas Mode. An interactive environment for viewing, editing, and iterating on code and documents generated by the AI. Canvas Mode allows real-time code preview and editing.

8.3. Browser Agent. OkeyAI can browse the web on your behalf within a sandboxed environment. Web browsing is subject to the terms of service of the websites being accessed.

8.4. Image Analysis. You may upload images for AI analysis. Supported formats include JPEG, PNG, GIF, and WebP. Maximum file size is 10MB per image.

8.5. Video Recommendations. OkeyAI can search for and recommend videos relevant to your queries. Video content is sourced from third-party platforms and is subject to those platforms' terms.

8.6. Code Execution. Code execution occurs in a sandboxed environment. OkeyMeta is not responsible for the output or consequences of code you instruct the AI to execute.

8.7. Message Rating. You may rate AI responses to help improve the Service. Ratings and feedback are anonymized and used for quality improvement.

9. Disclaimers and Limitations of Liability

9.1. AS IS. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. OKEYMETA EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2. AI Accuracy. OkeyAI and the SSAILM 5 Ultimate model may produce inaccurate, incomplete, or biased outputs. You should not rely solely on AI-generated content for critical decisions, including but not limited to medical, legal, financial, or safety-related decisions. Always verify important information independently.

9.3. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKEYMETA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

9.4. Service Availability. OkeyMeta does not guarantee uninterrupted or error-free operation of the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

10. Indemnification

You agree to indemnify, defend, and hold harmless OkeyMeta, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt and expenses (including attorneys' fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (d) any content you submit to the Service; (e) any actions performed by the agent on your behalf.

11. Termination

11.1. You may terminate your account at any time by contacting OkeyMeta support or through your account settings.

11.2. OkeyMeta reserves the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, fraudulent activity, extended inactivity, or legal requirements.

11.3. Upon termination, your right to use the Service ceases immediately. OkeyMeta may retain your data as required by law or for legitimate business purposes, but will delete your account data upon request subject to legal retention requirements.

12. Changes to These Terms

OkeyMeta reserves the right to modify these Terms at any time. Material changes will be communicated to you via email or through a prominent notice on the Service. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service.

13. Governing Law and Dispute Resolution

13.1. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

13.2. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the Lagos Court of Arbitration.

13.3. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.

14. Miscellaneous

14.1. Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.2. Entire Agreement. These Terms constitute the entire agreement between you and OkeyMeta regarding the Service, superseding any prior agreements.

14.3. Waiver. The failure of OkeyMeta to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4. Assignment. You may not assign or transfer these Terms or your rights under them without OkeyMeta's prior written consent. OkeyMeta may assign these Terms without restriction.

14.5. Force Majeure. OkeyMeta shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet disruptions.
